Above-named client _________________ (referred to hereinafter as “Client”)
has engaged Bradley Beard for the specific purpose of developing a web
site called ____________________ that will contain approximately ______
pages – as outlined below.
SERVICES RENDERED – Bradley Beard
agrees to perform the following web site design services consisting
of the following components, as needed:
Programming Language: Currently, we offer
web site design in PHP/MySQL, HTML, and ASP.
Master Home Page - Contains the menus,
navigational tools, and information customers see first when visiting
your site.
Services Page(s) – describe your
services.
Products Page(s) – describe your
products.
E-mail Contact Form - one click loads client
e-mail address into web users e-mail program.
Company Background Page(s) - providing
company background, statistics, history, etc.
Map Page - static or interactive.
Area Info &/or Links to web site resources
News Page(s) - press release, stories or
articles.
Custom Graphic(s) - for photos, like collages
or framed borders.
Custom wallpaper background
Convert all logos and graphics for use online:
contrast, color, format, 3D, etc.
Search engine submission - web site promotion
to all top search engines.
SEARCH
ENGINE KEYWORDS - Client to supply Bradley Beard with a list
of most important 2-3 keyword-phrases that web surfers will most likely
use to search for their site. Keyword-Phrases must be listed in order
of importance, with first being most important, for example: physician
placement, medical placement, physician consulting, medical management
services, etc. Client will submit this info to me via bradley@brainstorm-multimedia.com.
COST - Client and Bradley Beard agree that
the services described in this contract shall be completed for $________,
payable to “Bradley Beard.”
PAYMENT - Client agrees to pay Bradley
Beard $____ (50% of the total fee of $______) as a deposit upon execution
of this Agreement. Remaining $_____ of $______ is due and payable upon
satisfactory completion of web site development as agreed to herein.
PERFORMANCE - Bradley Beard will submit
a First Draft of web site no later than fourteen (14) days after Bradley
Beard receives this signed agreement and deposit. Client to provide
Bradley Beard with all data needed to complete web site, including text,
company logos, and photos. Bradley Beard will complete web site within
thirty (30) days from start date.
WEB SITE DESIGN STANDARDS - All services
described herein are to be performed by Bradley Beard in accordance
with the most commonly accepted standards and practices of the Web Services
Industry. Bradley Beard will use the most universally accepted web site
design technologies to satisfy the broadest market possible - meaning
your web site will look and act the same on over 85% of all web browsers
in use at any given time.
OPTIONAL MAINTENANCE - Bradley Beard can
maintain your site monthly. Inquire separately what maintenance is and
what it includes.
ADDITIONAL SERVICES - The terms and conditions
set forth in this document constitute the sole agreement between Bradley
Beard and the Client regarding this web site, ______________________.
Any additional work not specified in this contract must be authorized
by both original parties in writing. Any additional web development,
design, or pages needed beyond what is specified above will be charged
at a rate of $35 per hour.
WARRANTIES AND LIABILITY - Bradley Beard
does not warrant the functions of site will meet Client's expectations
of traffic or resulting business. In no event will Bradley Beard or
my subcontractors be liable to Client or any third party for any damages,
including any lost profits, lost savings or other incidental, consequential
or special damages arising out of the operation of or inability to operate
these web pages, even if Bradley Beard has been advised of the possibility
of such damages.
CANCELLATION - If Agreement is canceled
before site is finished, Client forfeits initial deposit and may be
held liable for breach of contract.
TRADEMARKS & COPYRIGHTS - Client represents
to Bradley Beard and unconditionally guarantees that any elements of
text, graphics, photos, designs, trademarks, or other artwork furnished
to Bradley Beard for inclusion in web pages are owned by the Client,
or Client has permission from the rightful owner to use each of these
elements, and will hold harmless, protect, and defend Bradley Beard
from any claim or suit arising from the use of such elements furnished
by the Client. Bradley Beard initially owns copyright to the assembled
work of web pages produced by Bradley Beard. Upon final payment of this
contract, all rights owned by Bradley Beard as to the design, graphics,
and text in this web site transfer to the Client.
WEBMASTER CREDITS - For a minimum of 1
year, or as long as Bradley Beard is Webmaster, Client hereby agrees
to allow Bradley Beard to display a small “Webmaster” hypertext
link in footer of all pages within the site that is linked to brainstorm-multimedia.com,
said link to open a new browser window; and not to remove any web author
Meta-Tags in page source code that refer to Bradley Beard as the Client’s
web site developer.
LITIGATION - Any disputes arising from
this contract will be litigated or arbitrated in Brevard County, Florida.
This Agreement shall be governed and construed in accordance with the
laws of the State of Florida. The undersigned hereby agree to the terms,
conditions and stipulations of this agreement on behalf of his or her
organization. This Agreement constitutes the entire understanding of
the parties. Any changes or modifications thereto must be in writing
and signed by both parties.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement
